Terms of Service

Who you're contracting with
These Terms of Service (“Terms”) form a binding agreement between you and Vast Dynamic Software Development Limited(“Slipwise”, “we”, “us”), a company incorporated in Hong Kong. By creating an account or using Slipwise you agree to these Terms.
The service
Slipwise is a software product that lets you upload, forward, organise, and export expense receipts. It uses automated extraction (including third-party large-language-model APIs) to read fields from your receipts, and optionally syncs copies to a cloud-storage folder you own. Specific features and limits may change as the product evolves.
During the closed beta, the service is provided free of charge subject to the monthly usage caps shown in your dashboard. Pricing for general availability will be communicated separately and will not apply retroactively to data uploaded during the beta.
Eligibility
You must be at least 13 years old to create an account. By using Slipwise you confirm you have the legal capacity to enter into this agreement, or that you have a parent or guardian’s consent if required by your jurisdiction.
Your account
- You are responsible for keeping your sign-in credentials secure. If you suspect unauthorised access, change your password and contact us.
- You are responsible for the activity that happens under your account, including the actions of anyone you invite as a member.
- You agree not to share, sell, or transfer your account to anyone else.
- The information you give us during signup and onboarding must be accurate.
Your content
You keep ownership of the receipts and other content you upload. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display that content for the limited purpose of operating Slipwise for you (including running extraction on it, syncing it to your chosen cloud folder, and showing it back to you and any members you invite).
You confirm you have the right to upload the content you upload, and that doing so does not infringe anyone else’s rights.
Acceptable use
You agree not to:
- Use Slipwise to upload content that is unlawful, infringing, malicious, or harmful to others.
- Attempt to interfere with the service, scan it for vulnerabilities without our written permission, or circumvent rate limits or usage caps.
- Use Slipwise to send unsolicited messages, or to impersonate another person or entity.
- Resell or repackage Slipwise as your own service without a written agreement with us.
- Reverse-engineer the service except to the extent expressly allowed by Hong Kong law.
We may suspend or terminate accounts that breach these rules, with or without notice depending on the severity.
Cloud sync
If you connect Google Drive or OneDrive, you authorise Slipwise to write copies of your receipts into the folder you select. You can disconnect at any time from Settings, which revokes our access tokens immediately. We do not modify or delete files outside the folder you authorise.
Privacy
Our handling of your personal data is described in our Privacy Policy, which forms part of these Terms.
Service availability and changes
We work hard to keep Slipwise available, but we do not guarantee uninterrupted service. We may add, modify, or remove features at any time. Where a change materially reduces a feature you actively use, we will give reasonable notice.
Disclaimer
Slipwise is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Receipt extraction is performed by automated systems that can and do make mistakes; you are responsible for verifying the data Slipwise produces before relying on it for accounting, tax, or any other purpose.
Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or your use of Slipwise will not exceed the greater of (a) the fees you paid us in the twelve months preceding the event giving rise to the claim, or (b) HK$1,000.
We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under Hong Kong law (including for fraud or wilful misconduct).
Indemnity
You agree to indemnify Vast Dynamic Software Development Limitedagainst any third-party claim arising from your breach of these Terms, your misuse of the service, or content you upload that infringes a third party’s rights.
Termination
You may delete your account at any time from Settings. We may suspend or terminate your access if you breach these Terms or if your account is dormant for an extended period. On termination, your data is deleted in accordance with the retention schedule set out in our Privacy Policy.
Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent change. For material changes we will notify you by email or in-app before they take effect; continued use of Slipwise after the change indicates acceptance.
Governing law and disputes
These Terms are governed by the laws of Hong Kong. Any dispute arising out of or in connection with these Terms or your use of Slipwise will be subject to the exclusive jurisdiction of the courts of Hong Kong.
